1. Acceptance of Terms
   By accessing or using the Sapience AI website (the “Site”) and any services, software, or content provided by Sapience AI Corporation (“Sapience AI,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Site or our services.
   
   We reserve the right to update or modify these Terms at any time. Your continued use of the Site following the posting of changes constitutes your acceptance of such changes.

2. Description of Services
   Sapience AI provides Institutional Knowledge Infrastructure for professional associations and membership organizations. Our services may include software applications, APIs, browser extensions, data analytics tools, and related documentation (collectively, the “Services”).
   
   We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

3. Eligibility
   You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our Services. By using the Site, you represent and warrant that you meet these requirements.

   
   

4. Account Registration
   Certain features of the Services may require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
   
   You agree to notify us immediately of any unauthorized use of your account. Sapience AI will not be liable for any loss or damage arising from your failure to maintain the security of your account.

5. Acceptable Use
   You agree not to use the Site or Services to: (a) violate any applicable law, regulation, or third-party rights; (b) upload or transmit any harmful, infringing, defamatory, or otherwise objectionable content; (c) attempt to gain unauthorized access to any part of the Services or related systems; (d) interfere with or disrupt the integrity or performance of the Services; (e) reverse engineer, decompile, or disassemble any aspect of the Services; or (f) use the Services for any purpose that is fraudulent or otherwise harmful.

   
   

6. Intellectual Property
   All content, features, functionality, software, designs, text, graphics, and other materials available through the Site and Services are owned by Sapience AI or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services or content without our prior written consent.

Any feedback, suggestions, or ideas you provide to Sapience AI regarding the Services may be used by us without restriction or obligation to you.

7. User Content
   You retain ownership of any content you submit, upload, or make available through the Services (“User Content”). By submitting User Content, you grant Sapience AI a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the Services.
   
   You represent and warrant that you have all necessary rights to grant this license and that your User Content does not infringe the rights of any third party.

8. Confidentiality
   Any non-public information shared between you and Sapience AI in connection with the Services shall be treated as confidential. Neither party shall disclose the other party’s confidential information without prior written consent, except as required by law.
   
   

9. Disclaimer of Warranties
   THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. SAPIENCE AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
   
   

10. . Limitation of Liability
    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAPIENCE AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES.

    
    IN NO EVENT SHALL SAPIENCE AI’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT YOU PAID TO SAPIENCE AI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
    
    

11. . Indemnification
    You agree to indemnify, defend, and hold harmless Sapience AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your violation of these Terms, or your infringement of any third-party rights.
    
    

12. Termination
    We may terminate or suspend your access to the Services at any time, with or without cause and with or without notice. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
    
    

13. Governing Law and Dispute Resolution
    These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in King County, Washington, and you consent to the personal jurisdiction of such courts.
    
    

14. Severability
    If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
    
    

15. Entire Agreement
    These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Sapience AI with respect to your use of the Site and Services.
